ScopePilot – Terms and Conditions

Welcome to ScopePilot. These Terms and Conditions ("Terms") govern your access to and use of the ScopePilot website, app and services (collectively, the "Service") provided by ScopePilot ("ScopePilot", "we", "us", or "our").

By creating an account, accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You may use ScopePilot only if you:

  • are at least 18 years old (or the age of majority in your jurisdiction), and
  • have the legal capacity to enter into a binding contract.

If you use ScopePilot on behalf of a company or organization, you represent that you are authorized to bind that entity to these Terms.

2. Account Registration

To use most features, you must create an account. You agree to:

  • provide accurate and complete information when creating your account;
  • keep your login credentials confidential and secure;
  • be responsible for all activity under your account.

If we reasonably suspect that you have violated these Terms or that your account is compromised, we may suspend or terminate your access.

3. Service Description

ScopePilot is a SaaS tool that helps freelancers and agencies manage project scope, analyze client requests, generate change orders, and optionally integrate with third-party services (e.g. Stripe, AI providers) to assist with replies, metrics and payment flows.

We may add, modify or remove features over time. We will make reasonable efforts to notify you of material changes, but we are not obligated to maintain any particular feature.

ScopePilot is provided on an "as available" and "as is" basis (see Section 13).

4. Plans, Pricing and Payments

We may offer:

  • a free plan with limited usage;
  • paid subscriptions (e.g. Pro);
  • one-time purchases (e.g. lifetime access or credit packs).

Details of available plans, limits, and prices are displayed on our website or within the product and may change from time to time.

4.1 Billing

Paid plans and add-ons are billed through a third-party payment processor (such as Stripe). By subscribing or purchasing, you authorize:

  • our payment processor to charge the payment method you provide; and
  • us to store limited billing information as necessary to maintain your subscription (we do not store your full card details).

All fees are non-refundable unless required by applicable law or explicitly stated otherwise.

4.2 Subscriptions and Renewal

Unless otherwise specified:

  • subscriptions are billed in advance on a recurring basis (e.g. monthly);
  • your subscription will automatically renew until you cancel.

You can cancel future renewals at any time via your account or by contacting us. Cancellation prevents future charges but does not automatically entitle you to a refund for already-charged periods.

If we cannot process payment, we may downgrade your account to a free plan or suspend access until payment is resolved.

4.3 Taxes

Fees are exclusive of any taxes, duties or levies (such as VAT). You are responsible for paying any applicable taxes as required by law.

5. Usage Limits and Fair Use

Your plan may include limits, for example:

  • number of projects;
  • number of AI analyses per month;
  • number of change orders or client portal views.

We may implement technical or administrative measures to enforce these limits.

You agree not to:

  • circumvent or attempt to circumvent any usage limits;
  • abuse the Service (e.g. automated or high-volume use that degrades performance for others).

We reserve the right to temporarily throttle or suspend access if your use exceeds reasonable fair use or threatens the stability of the Service.

6. Acceptable Use

You agree not to use ScopePilot to:

  • violate any applicable law or regulation;
  • infringe the rights of others, including privacy, intellectual property or contract rights;
  • upload, generate, or share content that is unlawful, harmful, abusive, defamatory, discriminatory, or otherwise objectionable;
  • attempt to gain unauthorized access to our systems, other users' accounts, or any non-public parts of the Service;
  • reverse engineer, decompile, or attempt to derive the source code of the Service, except where permitted by law;
  • interfere with or disrupt the operation of the Service.

We may investigate and take appropriate action, including suspension or termination, if we suspect violations of this section.

7. Third-Party Services

ScopePilot integrates with third-party services (e.g. payment processors, AI providers, email providers). Your use of those services is subject to their own terms and privacy policies. We are not responsible for any issues, losses, or damages arising from third-party services.

8. User Content

"User Content" means any information, text, files, messages, and other material you submit or upload to the Service, including client messages, project scopes, change requests and metadata.

You retain ownership of your User Content. By using the Service, you grant ScopePilot a worldwide, non-exclusive, royalty-free license to:

  • host, store, process and display your User Content;
  • use it to provide, maintain, secure, and improve the Service;
  • generate anonymized, aggregated statistics and analytics (that do not identify you or your clients personally).

You are solely responsible for ensuring that you have all necessary rights to submit User Content and for the accuracy and legality of User Content.

9. Confidentiality and Client Data

We treat your data as confidential and do not access it except as necessary to operate and support the Service, to investigate issues, enforce these Terms, or comply with legal obligations.

You are responsible for ensuring that sharing your clients' data with us complies with your own contracts and with applicable laws.

10. Data Protection and Privacy

Your use of ScopePilot is also governed by our Privacy Policy, which explains how we collect, use, and protect personal data. By using the Service, you agree to the Privacy Policy.

11. Intellectual Property

All rights, title and interest in and to the Service (excluding your User Content) are and will remain the exclusive property of ScopePilot and its licensors.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely in accordance with these Terms.

12. Beta Features

We may offer early access or beta features. These features may be experimental, incomplete, or changed/removed at any time and are provided "as is" with no warranties.

13. Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and "as available". We do not guarantee that the Service will be error-free, uninterrupted, or secure.

We do not guarantee that AI-generated suggestions, analyses, or replies will be accurate, complete, or appropriate for your specific situation. You are responsible for reviewing any AI-generated outputs.

14. Limitation of Liability

To the fullest extent permitted by law, ScopePilot shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data, or business opportunities.

In any case, our total aggregate liability arising out of or relating to the Service will be limited to the amount you paid to us for the Service in the 3 months prior to the event giving rise to the claim, or 100 EUR, whichever is lower.

15. Indemnity

You agree to indemnify and hold harmless ScopePilot from any claims, damages, losses, liabilities, costs and expenses arising out of or related to your use of the Service, violation of these Terms, or violation of any third-party right.

16. Termination

You may stop using the Service at any time and cancel your subscription through your account or by contacting us.

We may suspend or terminate your access if you materially breach these Terms, if we are required to do so by law, or if we discontinue the Service.

Upon termination, your right to use the Service ends. We may delete or restrict access to your account and data after a reasonable period, subject to legal obligations and our Privacy Policy.

17. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice. Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.

18. Governing Law

These Terms are governed by the laws of the jurisdiction in which ScopePilot operates, without regard to conflict of law rules. Any disputes shall be subject to the exclusive jurisdiction of the courts in that jurisdiction, unless mandatory law provides otherwise.
